Terms of Service

Thank you for using dotQuant ("we", "us" or "our"), a trading name of Amarcode Studios Limited, a company registered in England & Wales. These Terms of Service ("Terms") govern your access to and use of the dotQuant website, APIs, software, and related services (collectively, the "Service"). By registering, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By using the Service, you confirm that you:

  • Are at least 18 years old and legally able to form binding contracts;
  • Agree to comply with these Terms and applicable laws;
  • Have read and understood these Terms in their entirety before using the Service.
If you do not agree, do not use the Service. Your continued use of the Service at any point constitutes your acceptance of the then-current version of these Terms.

2. Service Description

dotQuant provides a technology platform that enables users to transmit trading signals (originating from third-party alert platforms such as TradingView) to external brokerage APIs chosen by the user ("Supported Brokers"). The Service may include a cloud-based component and, for certain broker integrations, a desktop client application that connects to your locally running broker trading platform (e.g. Interactive Brokers Trader Workstation or IB Gateway).

You acknowledge and agree that:

  • We do not generate trading signals or investment advice.
  • We do not execute trades, manage accounts, or make trading decisions on your behalf.
  • The Service simply transmits user-configured signals to Supported Brokers at your direction.
  • Certain broker integrations require you to install, maintain, and keep running additional local software (e.g. the dotQuant desktop client and your broker's trading platform). It is your sole responsibility to ensure these components are operational.
  • Signal delivery depends on factors outside our control, including the availability and responsiveness of your broker, your local software, your network connection, and third-party infrastructure.
You are solely responsible for how you use the Service and how your trading systems or broker accounts respond to these signals.

3. Account Registration and Credentials

You must register for an account and provide accurate, current, and complete information. You are responsible for:

  • Keeping your account credentials confidential.
  • All activities that occur under your account.
  • Providing your own broker API credentials or linking your broker account as instructed.
  • Ensuring any locally installed software (desktop client, broker trading platform) is kept up to date and properly configured.
By linking a Supported Broker account, you authorise dotQuant to use your credentials solely to transmit messages as configured by you. Broker credentials are encrypted at rest using industry-standard encryption. However, we cannot guarantee the absolute security of any data transmitted over the internet or stored electronically.

4. User Responsibilities

You agree that:

  • You are solely responsible for all decisions, trading strategies, alert configurations, and the consequences of transmitting signals.
  • You will not use the Service for any unlawful or fraudulent purpose.
  • You will comply with third-party terms of use (including broker terms and any alert platform terms).
  • You will not resell, sublicense, reverse engineer, modify, or distribute the Service except as permitted in writing.
  • You will not attempt to circumvent usage limits, rate limits, or access controls.
  • You will not use the Service in any way that could damage, disable, overburden, or impair our systems or interfere with any other user's use of the Service.

5. Free Plans and Usage Limits

Certain plans, including any free tier, are subject to usage limits (for example, the number of alerts, broker accounts, signals per month, and signal history retention). Current limits are displayed on the pricing page and within your account dashboard.

You acknowledge and agree that:

  • We reserve the right to modify usage limits, features, and plan terms at any time without prior notice.
  • Free plans are provided at our discretion and may be modified, suspended, or discontinued at any time.
  • No plan — whether free or paid — guarantees a specific level of service, capacity, or feature set in perpetuity.
  • If you exceed a plan's usage limits, access to certain functionality may be restricted until you upgrade or reduce usage. Signals that exceed monthly caps may be recorded but not forwarded to your broker.
  • Upon downgrading from a paid plan, features, capacity, and data retention may be reduced to match the limits of your new plan. Alerts or broker accounts that exceed the limits of your new plan may be paused or disabled.
  • We are not liable for any loss, missed trades, or inconvenience resulting from changes to plan features, usage limits, or the availability of any free or paid plan.

6. Beta Programme

From time to time, dotQuant may offer access to the Service under a Beta Programme. If you are enrolled in the Beta Programme, the following terms apply in addition to all other provisions of these Terms.

6.1 Nature of Beta Access

  • Beta access is provided free of charge, at our sole discretion, and may be withdrawn at any time.
  • Beta features are experimental and provided on an "as is" basis. They may be incomplete, subject to change, or discontinued without notice.
  • You acknowledge that Beta features may contain bugs, errors, or limitations not present in production-ready features. We provide no warranties of any kind in respect of Beta features.
6.2 End of the Beta Programme

The Beta Programme will end at a date determined by us at our sole discretion. We will make reasonable efforts to notify enrolled users in advance via email and/or an in-app notification.

Upon the end of the Beta Programme:

  • Your account will enter a one-month transition period during which the Service remains fully accessible at no charge and with no obligations.
  • During the transition period, you may choose one of the following options:
(a) Stop using dotQuant — take no action. Your account will become inactive at the end of the transition period. Your account data will be retained for a reasonable period in accordance with Section 13. You may request deletion of your data at any time by contacting us. There are no charges, penalties, or obligations for choosing this option. (b) Continue on the free tier — switch to the free plan, subject to the usage limits described in Section 5. You may do this at any time during or after the transition period through your account settings. (c) Upgrade to a paid plan — subscribe to a paid plan to continue using the full Service. Paid plans are subject to the fees and billing terms described in Section 8.
  • If you take no action before the end of the transition period, your account will be treated as inactive under option (a) above.
6.3 No Financial Obligation

Beta users incur no financial obligation at any time during the Beta Programme or during the transition period. No charges will be applied to your account unless you actively choose to subscribe to a paid plan.

6.4 Data Preservation

Your account data, settings, signal history, and configurations will be preserved throughout the Beta Programme and transition period, subject to the general data retention provisions in Section 13.

7. Risk Acknowledgement

You acknowledge and agree that:

a. Trading Risks

Trading financial instruments involves significant risk, including the risk of total loss of capital. You may lose all or more than your initial investment, and results will vary. Historical performance or signals are not indicative of future results. dotQuant does not provide financial advice and nothing in the Service should be construed as such.

b. Technology Risks

The Service may be interrupted, delayed, or unavailable for reasons beyond our control. Downtime, network issues, software bugs, errors, or mis-formatted signal payloads may result in failed, delayed, or duplicate transmissions. We do not guarantee any specific uptime, latency, or delivery rate.

c. Signal Delivery Risks

Signals may not be delivered to your broker if your desktop client application is not running, your broker trading platform (e.g. TWS/IB Gateway) is offline or disconnected, your local network is unavailable, or your broker's API is unresponsive. We are not responsible for signals that fail to reach your broker for any reason, including but not limited to local software failures, network outages, broker-side rejections, insufficient funds, incorrect trading permissions, or market conditions.

d. Execution Risks

Even when signals are successfully delivered, your broker may reject orders, partially fill them, apply slippage, or execute at prices different from those anticipated. Order routing, fill prices, commissions, and execution timing are entirely within your broker's control. We have no influence over and accept no responsibility for how your broker processes orders.

e. Currency Risks

Prices displayed on the Service in non-GBP currencies are approximate conversions for informational purposes only. All charges are processed in GBP and converted by your payment provider at their prevailing rate. Exchange rate fluctuations may result in the final charged amount differing from the displayed estimate.

8. Third-Party Services

The Service integrates with or relies on third-party services, including but not limited to:

  • Alert platforms (e.g., TradingView);
  • Supported Broker APIs (e.g., Interactive Brokers);
  • Payment processors (e.g., Stripe) for subscription billing;
  • Authentication providers (e.g., Hanko) for account security;
  • Cloud infrastructure providers for hosting and content delivery;
  • Other software or services necessary to deliver the Service.
We are not responsible for the availability, accuracy, security, performance, errors, failures, or policies of any third-party service. Third-party services are governed by their own terms and privacy policies. You agree that you use third-party services at your own risk and that any dispute with a third-party service provider is between you and that provider.

9. Fees and Payments

Certain features require a paid subscription. If you subscribe to a paid plan:

  • You agree to pay all applicable fees when due. All fees are stated and charged in British Pounds (GBP).
  • Paid subscriptions automatically renew at the end of each billing period (monthly or yearly) unless cancelled before the renewal date.
  • You may cancel your subscription at any time through the Stripe customer portal accessible from your account billing page. Cancellation takes effect at the end of the current billing period — you retain access to paid features until that date.
  • Refund policy: Fees are non-refundable. We do not offer pro-rated refunds for partial billing periods, unused time, or mid-cycle cancellations.
  • We may change pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing period. We will make reasonable efforts to notify you of price changes in advance.
  • Payment processing is handled by Stripe. Your payment information is collected and stored by Stripe in accordance with their terms and privacy policy — we do not store your card details.
  • If a payment fails, we may suspend access to paid features until the payment issue is resolved.

10. Intellectual Property

All rights, title, and interest in the Service (including software, code, documentation, design, and trademarks) are owned by dotQuant or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service as permitted by these Terms. This licence does not include the right to:

  • Copy, modify, or create derivative works based on the Service;
  • Reverse engineer, decompile, or disassemble any part of the Service;
  • Access the Service to build a competing product or service;
  • Use any data mining, robots, or similar data-gathering tools on the Service.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Specifically, we do not warrant or guarantee:

  • That the Service will be error-free, uninterrupted, timely, secure, or fit for any specific purpose.
  • That signals transmitted will be received, accepted, or executed by your broker.
  • That any outcome, financial or otherwise, will result from using the Service.
  • The accuracy, reliability, or completeness of any data, signal, or information provided through the Service.
  • Any specific uptime percentage, latency, throughput, or service level.

12. Limitation of Liability

To the maximum extent permitted by law:

  • dotQuant, its affiliates, officers, employees, and partners shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the Service, including but not limited to: trading losses, missed trades, order rejections, partial fills, slippage, loss of data, loss of profits, business interruption, or any other financial loss.
  • We are not liable for any actions taken by your broker, including but not limited to order routing decisions, execution prices, margin calls, account restrictions, or account closures.
  • We are not liable for any loss arising from events beyond our reasonable control, including but not limited to: internet outages, power failures, natural disasters, pandemics, government actions, exchange or market closures, acts of terrorism, cyber attacks, or failures of third-party services (force majeure).
  • Our total aggregate liability for all claims arising out of or related to the Service shall not exceed the greater of: (a) the fees you paid to us in the 12 months preceding the claim, or (b) one hundred pounds sterling (£100).
  • Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the laws of England and Wales.

13. Indemnification

You agree to indemnify, defend, and hold harmless dotQuant and its officers, employees, agents, and affiliates from any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service;
  • Your trading strategies, decisions, and their outcomes;
  • Your breach of these Terms;
  • Your violation of applicable laws, regulations, or third-party rights;
  • Any dispute between you and your broker or any other third party;
  • Any content, data, or signals you transmit through the Service.

14. Data Retention and Deletion

We retain your account data, signal logs, and trading history for as long as your account is active and for a reasonable period thereafter to fulfil our legal obligations and resolve disputes.

  • Signal and order history may be subject to retention limits based on your plan (see Section 5).
  • You may request deletion of your personal data in accordance with our Privacy Notice and applicable data protection laws (UK GDPR / Data Protection Act 2018).
  • Upon account termination, we may retain anonymised or aggregated data that does not identify you.
  • We are not obligated to maintain or provide any data or content after account termination. It is your responsibility to export any data you wish to retain before terminating your account.

15. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we may also notify you by email or through an in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including but not limited to:

  • Violation of these Terms;
  • Non-payment of fees;
  • Suspected fraudulent, abusive, or illegal activity;
  • At our sole discretion for any reason.
Upon termination:

  • Your right to use the Service ceases immediately.
  • Any paid subscription will not be refunded for the remaining period.
  • We may delete your account data after a reasonable retention period, subject to our legal obligations.
  • Sections that by their nature should survive termination (including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) shall survive.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of London, England.

Before pursuing formal legal action, you agree to attempt to resolve any dispute informally by contacting us at support@dotquant.io. We will attempt to resolve the dispute within 30 days.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Notice and Cookie Policy, constitute the entire agreement between you and dotQuant regarding the Service and supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
